GVX Capital – Terms of Service (Website Terms of Use)

These Terms of Use (“Terms”) govern your access to and use of the website operated by GVX Capital (“GVX,” “we,” “us,” “our”) at gvxcapital.com (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1) Informational Use Only; No Professional Advice

The Site is provided for general informational purposes only and does not constitute legal, tax, accounting, investment, financial, or other professional advice. You should obtain advice from qualified professionals before acting on any information on the Site.

2) No Offer or Solicitation of Securities

Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any securities or investment products in any jurisdiction. Any references to capital raising, financing, private placements, or investment-related matters are provided solely in the context of strategic and operational advisory and may involve coordination with appropriately licensed or regulated third parties where required.

3) No Client Relationship

  • Copy, reproduce, distribute, or create derivative works from Site content except as permitted in Section 6.

6) Intellectual Property; Limited License

All content on the Site (including text, graphics, logos, diagrams, videos, and other materials) is owned by GVX or its licensors and is protected by intellectual property laws. GVX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal, non-commercial informational purposes.

You may not reproduce, distribute, publicly display, modify, reverse engineer, or create derivative works from any Site content without our prior written consent.

7) User Submissions

If you submit information through forms, assessments, email links, or other channels on the Site (“Submissions”):

  • You represent that you have the right to provide the Submissions and that they do not violate any third-party rights.

  • You grant GVX a non-exclusive right to use the Submissions for the purpose of responding to you, evaluating potential engagement fit, and providing services if applicable.

  • Do not submit confidential or sensitive information unless we have a signed NDA or written engagement agreement in place. While we apply reasonable safeguards, no internet transmission is completely secure.

8) Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

To the fullest extent permitted by law, GVX and its directors, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to your use of (or inability to use) the Site, even if advised of the possibility.

To the fullest extent permitted by law, GVX’s total liability for any claim relating to the Site will not exceed CAD $100 (or the minimum amount permitted by applicable law, if greater).

13) Indemnification

You agree to defend, indemnify, and hold harmless GVX and its directors, officers, employees, contractors, and affiliates from and against claims, liabilities, damages, judgments, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Site, your violation of these Terms, or your infringement of any rights of another party.

14) Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or if required to protect the Site, GVX, or others.

15) Changes to These Terms

We may update these Terms periodically. The “Effective Date” indicates when the Terms were last revised. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

16) Governing Law; Venue

These Terms are governed by the laws of Alberta, and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Calgary, Alberta.

17) Severability; Entire Agreement; Assignment

If any provision is found unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement regarding your use of the Site. You may not assign these Terms without our consent; we may assign them as part of a corporate reorganization or sale.
